This ESG Report of Agora Group and Agora S.A. for the year 2021 is the sixth non-financial report prepared by Agora. Agora Group's non-financial reports are prepared every year on a calendar basis. The previous non-financial report of the Agora Group - for 2020 was published on 18 March 2021.

ESG report of Agora Group and Agora S.A. for 2021 includes information and consolidated non-financial data of the Agora capital group and its parent company, Agora S.A. for the period from 1 January to 31 December 2021. All information and data in this report marked with the term "Agora Group" refer to the following companies: Agora S.A., Helios S.A., NEXT FILM Sp. z o.o., Next Script Sp. z o.o., Step, Inside Sp. z o. o., AMS S.A., AMS Serwis Sp. z o. o., Optimizers Sp. z o. o., Piano Group Sp. z o. o., Plan D Sp. z o. o. The quantitative and qualitative data presented in the report come from the internal management information systems of the Agora Group and Agora S.A., which constitute the process of reporting and data validation with the participation of internal experts. In the case of selected figures, there is incomplete comparability with the previous years. This is due to the development of ESG reporting in the Agora Group, enriching the report for 2021 with new indicators and changing the methodology of calculating selected indicators. Each time such situations are clearly described in tables with data. In particular, changes in the methodology concern indicators in the employee area: from 2021, data is collected in a more detailed breakdown (into age groups and grades of employees) and there have been changes in the assignment of some positions to individual grades in the employment structure. Changes in the methodology of environmental data are mainly related to the wider scope of data collection and the adaptation to the new GRI standard on waste.

The document contains key non-financial data related to the activities of the Agora Group and Agora S.A., as well as information on our responsibility towards employees, society and environment. It also takes into account issues related to respect for human rights and counteracting corruption. The individual chapters of the report present the management approach, including the description of key policies and internal regulations implemented in the Agora Group in relation to the above-mentioned areas of responsibility, and the implemented due diligence procedures.

This  publiccation meets the requirements of the amended Accounting Act of 15 December 2016, regarding the disclosure of non-financial information resulting from the transposition of Directive 95/2014 / EU1, and the Regulation of the Ministry of Finance of 25 May 2016 regarding information on diversity and the obligation resulting from the Directive 2014/95/EU of the European Parliament and of the Council4 of 22 October 2014 amending Directive 2013/34/EU as regards disclosure of non-financial and diversity information by certain large entities and groups. This report also discloses data on the so-called of the EU Taxonomy, the reporting of which is obligatory under the Regulation of the Parliament and of the Council (EU) 2020/852 of 18 June 2020.

The report was prepared in accordance with the international Global Reporting Initiative Standards (GRI Standards 2021), without external verification.

The report also refers to the following standards, principles and recommendations:

  • WSE Best Practices in 2021 and 2016;
  • UN Global Compact Principles and UN Sustainable Development Goals (SDGs);
  • The International Organization for Standardization ISO 26000 standard;

While defining material ESG issues for the Agora Group for the years 2023-2027, in the fourth quarter of 2021, an ESG materiality assessment was carried out, using the method of an extended questionnaire for various groups of the company's stakeholders, in accordance with the double materiality principle. During the ESG assessment, all ESG topics were analyzed from the double materiality perspective – from the financial materiality perspective (the ESG assessment analyzed how environmental and social issues are impacting Agora Group) and from the impact materiality perspective (the impact of Agora Group on environmental and social issues was analyzed).

As a result of this materiality analysis, a list of material stakeholders was defined, material ESG topics broken down into environmental and climate change issues, social issues, including employee issues, corporate governance issues, and a list of material non-financial risks.

As a result of the materiality assessment, key stakeholders of the Agora Group were identified:

Greenhouse gas emissions were calculated according to the standards and methodology of The Greenhouse Gas Protocol: A Corporate Accounting and Reporting Standard Revised Edition and GHG Protocol Scope 2 Guidance. Organizational boundaries include all companies in the Agora Group. The operating boundaries include Scope 1 emissions, i.e. emissions related to the direct use of fuels in buildings, vehicles and installations owned or controlled by the Group, and emissions related to refrigerant leakage, and emissions related to scope 2 (Scope 2), i.e. indirect emissions related to the Group's consumption of purchased electricity and heat. The calculations for Scope 2 were performed according to two methods: location-based and market-based. In the case of the location-based method, the electricity consumption was multiplied by the average emission factor for Poland. On the other hand, in the calculations using the market-based method, the energy consumption attributed to individual energy sellers was multiplied by the emission factor published / provided by these energy sellers. In cases where no specific energy seller was given, energy consumption was multiplied by the average for Poland. When calculating greenhouse gas emissions in relation to heat energy, the market-based method was used and the average emission factor for Poland was adopted*.

The amount of emissions was given in tonnes of carbon dioxide equivalent (Mg CO2e). This measure contains the total greenhouse gas emissions expressed by the amount of carbon dioxide emissions having the same environmental impact according to Global Warming Potential (GWP).

In 2021, the Agora Group identified and analyzed climate risks and the resulting threats and opportunities. The study was conducted in cooperation with the external consulting company MATERIALITY in accordance with the AXIS methodology (Amplification, eXclusion, Intensification, Seizure) and included three stages:

  • Analysis of material climate risks in the group of companies comparable to the Agora Group;
  • A questionnaire survey covering the Management Board and management staff of all operating segments of the Agora Group;
  • Calculation of results and categorization of identified risks, threats and opportunities.

Threats and opportunities were examined in terms of three parameters:

  • The probability (likelihood) of occurrence of risks, threats and opportunities;
  • The magnitude, i.e. the weight of potential negative consequences (in the case of threats) or the scale of potential benefits (in the case of opportunities);
  • The time horizon in which they can occur.

The study covered 28 physical and transformational risks, covering a total of 31 threats and 23 opportunities related to climate change. The risks, threats and opportunities, the probability or severity of which exceed the threshold values, were considered significant.

As a result of the analysis, the following were classified:

  • 5 opportunities and 4 threats to category A (Amplification);
  • 15 opportunities and 19 threats to category X (eXclusion);
  • 1 opportunity and 4 threats for category I (Itensification);
  • 2 opportunities and 4 threats for S category (Seizure).

In accordance with the methodology used, 2 opportunities and 4 threats were classified as S (Seizure), which means that they were considered material and subject to active management. Threats and opportunities belonging to categories I (Itensification) and A (Amplification) are monitored and, in selected cases, managed. Most of the threats and opportunities belonging to category X (eXclusion) could be omitted or just roughly monitored by Agora. Conclusions from the conducted research on climate risks will be incorporated into the risk management system functioning in the Agora Group. Further monitoring and identification of risks related to climate change will be carried out periodically as part of the risk review.
